As permitted by § 10-508 of the State Government Article of the Annotated Code of Maryland (1984, 2009 Replacement Volume), the Audit and Institutional Assessment Committee of the Board of Regents of Morgan State University will meet in closed session (i) to consult with counsel to obtain legal advice, SG § 10-508(a)(7); (ii) to discuss personnel matters, SG § 10-508 (a)(1)(i) and (1)(ii); and (iii) to carry out an administrative function under SG §10-503(c). This statement shall be made a matter of public record and shall be a part of the minutes of the Morgan State University Board of Regents.

MR. DALLAS R. EVANS, CHAIRMAN
Managing Director, Landmark Atlantic Holdings, LLC. Over twenty years of entrepreneurial and administrative experience in executive/financial management, residential and commercial real estate development and marketing, human services delivery, accounting and auditing, and small minority business development. He holds a Bachelor of Science degree in Accounting and Economics from the University of Maryland, College Park and a Master's degree in Business Administration: Finance, Real Estate and Urban Development from the American University, Washington, DC. He has served as Chairman of the Board since 1991 and served on the Board of Directors of Annapolis Bank, 1991 - 1995.

MR. MARTIN R. RESNICK, VICE CHAIRMAN
Chairman, Martin's Caterers. His previous business experiences include Buyer with Hecht Company, Third Assistant Manager, H.L. Green Company, Baltimore, and Management Trainee Program with Sears, Roebuck and Company. He received his formal education from Baltimore City College High School, the University of Maryland School of Pharmacy and the University of Maryland General Arts & Sciences. He currently serves as Vice Chairman of the Board, a member of the Maryland Business Roundtable for Education, the National Alliance of Business, the Morgan State University Foundation and the University of Maryland Foundation.

REV. DR. FRANCES MURPHY DRAPER, SECRETARY
Senior pastor of Freedom Temple A.M.E. Zion Church in Brooklyn, Maryland. The great granddaughter of the founder of the Afro-American Newspaper, Draper is a graduate of Morgan State University, Johns Hopkins University, the University of Baltimore, Loyola College and received her doctorate in ministry from United Theological Seminary in Dayton, Ohio. She is on the Board of Loyola College and has also served on the board of the United Way.

Senior Partner with Venture Philanthropy Partners (VPP), a high engagement grant making firm that invests in community based organizations serving at risk children in the Washington, DC region. Graduate of Morgan State University, the University of Baltimore and Harvard University's John F. Kennedy School of Government Executive Management and Leadership Program. Member of the Board of Directors, Associated Black Charities of Maryland and past Chair, Child and Family Services Agency Advisory Board, Washington, DC.

Congressman, United States House of Representatives, Maryland's Seventh Congressional District. Graduate of Howard University and the University of Maryland School of Law. Member the United States Naval Academy Board of Visitors, the Maryland Zoo Board of Directors, the Baltimore Aquarium Board of Trustees, the Institute of Human Virology Board of Directors, the Baltimore Area Council of the Boy Scouts of America Board of Directors and former Chair and current member of the Congressional Black Caucus.

GENERAL (Ret.) LARRY R. ELLIS
Morgan graduate and a Four Star General of the United States Army; General Ellis represents one of only six African Americans ever to hold the rank of Four Star General; Native of Cambridge, Maryland; General (Ret.) Larry R. Ellis has more than 35 years of experience in the military, leading complex military organizations as large as 750,000; General Ellis served as the President and CEO of Point Blank Solution, Inc., a company that designs, manufactures and distributes resistant and protective body armor for military and law enforcement activities worldwide. He has served as President and CEO since 2005.

Member and Trustee of the Executive Committee of the Board of Trustees of the Grand Opera House, Wilmington, Delaware, member of the Northern President's Advisory Council of the Girl Scouts of the Chesapeake Bay, the Board of Overseers of the University of Pennsylvania Dental School and the Board of Directors of the Delaware Community Foundation.

John Heinz III Center for Science, Economics and the Environment, the American Museum of Natural History, and the Board of Trustees at Caltech. Former trustee of the Carnegie Corporation and member of the National Science Board. Served on the President's Committee of Advisors on Science and Technology.

MR. KWEISI MFUME
Former President/CEO of the National Association for the Advance of Colored People (NAACP). Elected as a Democrat to the One Hundredth Congress and to the four succeeding congresses until his resignation. Graduate of Morgan State University and the John Hopkins University. Former Chairman of the Congressional Black Caucus. Served seven years on the Baltimore City Council.
